AFP Challenge
Rules and regulations of the AFP Challenge
The AFP Challenge is an initiative of Analytical Flow Products ("AFP"), a division of Mécanique Analytique Inc., whose goal is to highlight the versatility and effectiveness of our products as well as allow the users of our products to showcase their creativity and ingenuity, the whole while contributing to the advancement of the field of chromatography.
If you would like to undertake a project which makes use of our products to resolve a particular problem ("Project") and wish to participate in the AFP Challenge, please submit a detailed description of the Project (the "Proposal") to AFP by no later than 4 PM Eastern Standard time on December 30th, 2010 via email to contest@afproducts.ca or by overnight messenger service addressed to:

Anyone can submit a Proposal to be considered for the AFP Challenge. Proposals can be submitted by an individual, or by a team and no fee is required.
Each Proposal must specify (i) the name of each individual who will be involved in the Project ("Participants") including their names, addresses, e-mail addresses, and telephone numbers, (ii) all of the valves and fittings produced by AFP required to carry-out the Project and how they will be applied (the "AFP Products"), and (iii) the problem the Project is trying to overcome and how it will do so.
All Proposals and all documentation or communications provided within the context of the AFP Challenge must be in English. All Projects must be the original work of the Participants and may not have been previously published, released or distributed in any form.
Proposals and Projects must not contain any confidential or proprietary information of any person or entity, or any material that infringes the copyrights, trademarks, trade secrets or other intellectual property rights of any person or entity. The Participants undertake to hold AFP harmless with regard to any claims made against AFP and/or its agents, representatives, shareholders, officers, employees, directors, by third parties regarding the infringement of their intellectual.
No Application must be presented in violation of any contractual obligations of the Participants, including without limitation non-competition clauses.
AFP will, at its sole discretion, review Proposals and decide which Projects, if any, will be allowed to participate in the AFP Challenge.
AFP will supply to the Participants those AFP Products listed in the Proposal as well as such technical support as it deems appropriate, the whole at no cost to the Participants.
The completed Projects must be submitted to AFP by February 1st, 2011 no later than 4 PM Eastern Standard time. Notwithstanding the preceding paragraph, should the Project not be submitted before said deadline, AFP can request that all of the AFP Products provided to the Participants be immediately returned to AFP failing which the Participants will be invoiced therefore.
AFP will, at its sole discretion, select the winner(s) of the AFP Challenge and make the announcement at the booth at Pittcon 2011 in Atlanta.
The winner(s) of the AFP Challenge will benefit from the following: (i) the opportunity to give a full paper presentation at a selected trade fair show / symposium in 2012, including airfare, hotel accommodations, and (ii) submitting a paper describing the Project for publication in an appropriate selected periodical.
All material submitted as part of the Proposal or the Project shall automatically become the sole and exclusive property of AFP and will not be returned to the Participants. Participants accept that their Proposals and Projects will not be treated confidentially.
Participants agree to fully assist and cooperate with AFP should they be required to answer questions or provide further information with regard to their Proposals or Projects.
The Participants hereby agree that AFP shall be the owner of any and all patent related to the use or improvement of the AFP Products by the Participants in their Proposals and hereby accept to enter into an agreement with AFP recognising AFP's exclusive rights in such patents.
AFP reserves the right, in its sole discretion, to modify, cancel, withdraw or suspend the AFP Challenge and/or these Rules without prior notice and in such event shall not incur any liability whatsoever.
Each Participant hereby releases and agrees to indemnify and hold harmless AFP and its respective agents, representatives, affiliates, subsidiaries, officers, directors, employees against any and all loss, damages or liability which the Participant may incur by reason, whether direct or indirect, of the Participant's participation in the AFP Challenge, including without limitation, personal injury or death, or damage to personal or real property, or any other harm or damages resulting from or in connection with the AFP Challenge or as a result of the acceptance of the prize.
AFP accepts no liability or responsibility for (i) computer, hardware, equipment or internet malfunctions or difficulties, a computer virus or damage resulting from Participant's access or participation in the AFP Challenge, (ii) technical or transmission errors or problems; (iii) lost, late, incomplete, damaged, stolen, misdirected, illegible, destroyed or inaccurate information or submissions; (iv) any other technical problems, human problems or other problems or errors that may occur, including, without limitation, errors in the administration of the AFP Challenge or in the materials associated with the AFP Challenge; or (v) damage caused by events beyond the control of AFP. AFP RESERVES THE RIGHT IN ITS SOLE DISCRETION TO DISQUALIFY AND TO SEEK DAMAGES FROM ANY PARTICIPANT WHO TAMPERS WITH OR IS SUSPECTED OF TAMPERING WITH THE SUBMISSION PROCESS OR DISRUPTING THE OPERATION OF THE AFP CHALLENGE.
AFP's rights under the present Rules shall not limit its rights to claim other damages, injunction, or any other remedy that may be granted or available to AFP under any applicable laws.
This AFP Challenge and all dealings between AFP and the Participants shall be governed by and construed in accordance with the laws of the Province of Quebec and of Canada applicable thereto without regard to its principles of conflicts of law, and the courts of the Province of Quebec, judicial district of Frontenac and the federal courts of Canada shall have exclusive jurisdiction with respect to any proceedings or disputes arising out of or connected with the AFP Challenge and /or between AFP and the Participants.
Participants hereby grant to AFP and any related entity the right to, use, post and publish details relating to the Participants, the Proposals and the Projects in whole or in part on its web site, in other promotional, advertising and publicity material it considers appropriate, and in any media including (without limitation) for the purpose of promoting AFP and AFP Products without compensation or notification, to the extent permitted by law.
Participants further grant AFP the right to use their first and last names, photographs, voices and other relevant information in advertising and promotional activities in any media now and hereafter without compensation, permission or notification.
No Participant can (i) take part in any interviews or issue any announcements regarding participation in the AFP Challenge without the prior agreement of AFP or (ii) refer to the AFP Challenge or permit it to be referred to by any third party for the purpose of promoting or publicizing any company or business other than AFP.
